These Terms of Service ("Terms") govern your use of the YardSell Shopify app and website at getyardsell.com. By installing or using YardSell, you agree to these Terms. If you do not agree, do not use the app.

1. About YardSell

YardSell is a Shopify app that enables fabric retailers to sell products in fractional yard increments. The app converts product prices and inventory to support per-yard selling on Shopify stores.

2. Eligibility

To use YardSell you must:

• Have an active Shopify store
• Be at least 18 years old
• Agree to Shopify's own Terms of Service
• Have the legal authority to bind your business to these Terms

3. Subscription and Billing

YardSell is offered on a monthly subscription basis, billed through Shopify's billing system. Pricing is as listed on our website at the time of subscription.

• Free trial: New subscribers receive a 14-day free trial. No credit card is required to start the trial.
• Billing: After the trial period, your subscription will be billed monthly through Shopify.
• Setup fee: The Assisted Setup plan includes a one-time setup fee as described at the time of signup.
• Cancellation: You may cancel at any time by uninstalling the app from your Shopify store. No refunds are provided for partial months.
• Price changes: We will provide at least 30 days notice before changing subscription prices.

4. Acceptable Use

You agree to use YardSell only for its intended purpose — enabling fractional yard selling on your Shopify store. You agree not to:

• Attempt to reverse engineer, copy, or replicate the app
• Use the app for any unlawful purpose
• Interfere with or disrupt the app's infrastructure
• Resell or sublicense the app to third parties
• Use the app in a way that violates Shopify's Terms of Service

5. App Functionality

YardSell modifies product prices and inventory quantities in your Shopify store as part of its core functionality. You understand and agree that:

• The app will automatically update product prices (dividing by 8) and inventory (multiplying by 8) for configured product types
• You are responsible for verifying that your product configuration is correct before activating the app
• You should review your store carefully after installation to confirm everything is working as expected
• YardSell is not responsible for pricing errors resulting from incorrect configuration

6. Shopify Partner Relationship

YardSell is an independent app built on Shopify's platform. We are not affiliated with, endorsed by, or employees of Shopify Inc. Your relationship with Shopify is governed by Shopify's own Terms of Service.

7. Intellectual Property

All content, code, design, and materials in the YardSell app and website are owned by YardSell and protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any part of YardSell without our written permission.

8. Disclaimer of Warranties

YardSell is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the app will be error-free, uninterrupted, or free of harmful components. We make no guarantees about the accuracy of price or inventory calculations beyond what is described in the app's documentation.

9. Limitation of Liability

To the maximum extent permitted by law, YardSell shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the app. Our total liability to you for any claims arising from these Terms or your use of the app shall not exceed the amount you paid to us in the three months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless YardSell and its owners from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the app, your violation of these Terms, or your violation of any third party's rights.

11. Termination

We reserve the right to suspend or terminate your access to YardSell at any time if you violate these Terms or if we reasonably believe your use of the app is harmful to us, other users, or third parties. You may terminate your subscription at any time by uninstalling the app.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through the app. Continued use of YardSell after changes to these Terms constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of San Diego County, California.
